Terms of Use for Reactoo Platform

1. Introduction
These Terms of Use ("Terms") govern your access to and use of the services offered by Reactoo Limited ("Reactoo", "we", "our", or "us"), including Reactoo Studio, the Reactoo Guest companion application, generic embeddable element integrations (e.g., Video Wall, Watch Room, Guest Room, Webinar Room, Intercom, Video Message, Commentary Booth, Drawing Room, Meeting Room), custom third-party integrations, and AI-powered tools (collectively, the "Services"). By accessing or using our Services, uploading media, transmitting live streams, or interacting with any embedded Reactoo integration, you agree to be bound by these Terms. If you do not agree, do not use our Services.
2. Eligibility and User Categories
2.1 Eligibility: To use our Services, you must be at least 18 years old or the legal age of majority in your jurisdiction. If you are under 18, you may use our Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
2.2 User Categories: These Terms apply to (a) Platform Users & Clients operating Reactoo Studio or embedding integrations into digital properties; (b) Reactoo Guest Companion App Users connecting to streams or submitting content; and (c) Participants & Viewers interacting with embedded modules, video walls, watch rooms, or live broadcasts.
3. Account Registration & Security
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
3.1 Limited License to Use the Services: Subject to these Terms and any applicable commercial agreement, Reactoo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your internal business purposes or personal participation in supported interactive experiences.
4. Reactoo Studio & Companion Apps
4.1 Service Operations: Reactoo Studio and the Reactoo Guest companion app allow clients and guests to create, record, ingest, manage, and stream live interactive content.
4.2 Content Ownership & Platform License: You retain ownership rights to the content, streams, and assets you create or upload. However, by transmitting or uploading content through our Services, you grant Reactoo a worldwide, non-exclusive, royalty-free license to host, record, ingest, process, transmit, display, and reproduce your content solely as necessary to operate, maintain, deliver, and improve our Services.
4.3 Guest & Participant Compliance: Platform Users and Hosts are responsible for managing their guests and audience members, ensuring that all third-party participants comply with these Terms and applicable laws. Reactoo is not liable for content provided by third-party guests or viewers.
4.4 Reactoo Intellectual Property: Reactoo and its licensors retain all right, title, and interest in and to the Services, including the platform, software, user interfaces, workflows, documentation, designs, trademarks, logos, and related technology. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
5. Interactive Modules & Embeddable Integrations
5.1 Embeddable Elements: Reactoo provides generic embeddable modules and custom integrations for third-party platforms. Users interacting with embedded modules (such as sending video messages, joining commentary booths, or entering video walls) grant Reactoo and the host platform the right to display, broadcast, and process their contributions as part of the live or recorded event.
5.2 Hardware and Technical Permissions: Using certain interactive elements requires granting access to your device's media inputs (e.g., microphones, cameras, network specifications). You are responsible for configuring your hardware compatibility and system permissions.
6. AI Features and Data Usage
6.1 Artificial Intelligence Services: Reactoo incorporates AI-powered tools, automated media processing, voice/transcription utilities, and conversational chatbots into the Services.
6.2 AI Model Development: By using Reactoo Studio, uploading media assets, or transmitting live streams through our platform, you grant Reactoo permission to process and utilize such content to train, test, fine-tune, and improve our proprietary AI models and automated moderation tools, as further described in our Privacy Policy.
6.3 Google Data Exclusion: In compliance with Google API policies, user data obtained via YouTube or Google APIs is strictly excluded from AI training, model development, and unrelated secondary processing.
7. Subscription, Fees, and Commercial Terms
7.1 Subscriptions: Access to premium platform capabilities is offered on a subscription or commercial arrangement basis. Details regarding current subscription packages and pricing are available on our website or within individual client agreements.
7.2 Payment Processing: Payments and billing transactions are processed through secure third-party payment processors (e.g., Stripe, Inc.). You authorize us (or our designated payment processor) to charge your selected payment method for applicable subscription fees, platform usage charges, and taxes.
7.3 Commercial Arrangements & Revenue Share: Where applicable, custom revenue-sharing, VidMail fees, or license arrangements will be governed by the specific commercial agreement entered into during package selection. Continued eligibility under certain revenue-share models may require meeting specified performance metrics.
7.4 Renewals, Taxes, Failed Payments, Cancellations, and Refunds: Unless otherwise stated in an applicable order form or commercial agreement, paid subscriptions may renew automatically for successive billing periods until cancelled. You are responsible for applicable taxes, duties, or levies other than taxes based on Reactoo's net income. If a payment method fails, we may suspend or limit access until payment is successfully collected. Cancellation will stop future renewals on a going-forward basis. Except where required by law or expressly stated in a separate commercial agreement, fees already paid are non-refundable.
8. Acceptable Use & Content Guidelines
In addition to these Terms, our Community Guidelines describe expected conduct for all participants on the platform. You agree not to create, upload, stream, or distribute any content that:
8.1 Unlawful Content: Violates local, national, or international laws or regulations.
8.2 Intellectual Property Infringement: Infringes on trademarks, copyrights, patents, privacy rights, or publicity rights of any third party.
8.3 Harmful or Malicious Activity: Disseminates viruses, malware, unauthorized spam, hate speech, defamatory content, or malicious code designed to disrupt the platform or compromise user security.
8.4 Prohibited Conduct: You may not misuse the Services by attempting to gain unauthorized access, reverse engineer or interfere with the platform, scrape or systematically extract data except as expressly permitted, bypass usage restrictions, impersonate others, or use the Services in a manner that harms Reactoo, its customers, its partners, or other users.
8.5 Enforcement Rights: Reactoo may investigate suspected violations of these Terms, remove or disable access to content, suspend workflows, restrict user access, and cooperate with law enforcement or regulatory authorities where we reasonably believe such action is necessary to protect the Services, users, partners, or the public.
9. Integration with YouTube and Third-Party Destinations
9.1 Third-Party Destinations: Reactoo allows you to connect third-party broadcasting platforms, including YouTube, to stream live content.
9.2 YouTube Integration: Connecting your YouTube channel to Reactoo is governed by YouTube's terms. By using this optional integration, you agree to be bound by YouTube's Terms of Service and Google's Privacy Policy. You can manage or revoke access at any time through Google Security Settings.
9.3 Third-Party Services: Reactoo is not responsible for the availability, acts, omissions, policies, or changes of third-party platforms, destinations, or external providers. Your use of those services may be subject to separate terms and privacy policies maintained by those third parties.
10. Termination and Suspension
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without prior notice or liability, for conduct that we believe violates these Terms, harms other users, or damages Reactoo's business operations or systems.
10.1 Effect of Termination: Upon termination or suspension, your right to access and use the Services will immediately cease to the extent specified by Reactoo or the applicable commercial agreement. We may delete or disable access to account data, stored content, integrations, or configurations in accordance with our retention practices and any contractual commitments. Accrued payment obligations, intellectual property protections, indemnity obligations, liability limitations, and any provisions that by their nature should survive termination will remain in effect.
11. Service Availability, Changes, and Force Majeure
11.1 Service Availability and Changes: The Services may evolve over time and may be modified, updated, suspended, interrupted, or discontinued in whole or in part. Reactoo does not guarantee that any feature, integration, destination, or workflow will remain available, uninterrupted, error-free, or compatible with every device, browser, or external platform.
11.2 Force Majeure: Reactoo will not be liable for any delay, failure, or interruption resulting from causes beyond its reasonable control, including internet or telecommunications failures, cloud infrastructure outages, denial-of-service attacks, labor disputes, natural disasters, acts of government, epidemics, war, civil unrest, or failures of third-party service providers.
12. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Reactoo disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, secure, error-free, or that content or data will never be lost, delayed, or corrupted.
13. Indemnity
You agree to defend, indemnify, and hold harmless Reactoo Limited, its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your content, your use of the Services, your violation of these Terms, your infringement of any third-party rights, or your breach of applicable law.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Reactoo Limited, its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or service interruptions, arising out of or in connection with your access to or use of (or inability to access or use) the Services.
15. Reporting Infringement, Abuse, and Legal Notices
If you believe content on the Services infringes your intellectual property rights, violates applicable law, or constitutes abuse or misuse of the platform, please contact support@reactoo.com with sufficient detail for us to investigate. Reactoo may request additional information to verify the complaint and take action as appropriate.
16. Consumer and Local Law Rights
Nothing in these Terms excludes rights that cannot be limited or excluded under applicable consumer protection laws or other mandatory local laws. If such laws apply to you, certain disclaimers or limitations in these Terms may not apply to the extent prohibited by law.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of the United Kingdom.
18. Changes to Terms
We may update or modify these Terms from time to time. Revised versions will be published on our website with an updated "Effective Date." Your continued use of the Services following any updates signifies your acceptance of the revised Terms.
